URALCHEM announces the conclusion of accepting applications to sell ordinary registered shares of Voskresensk Mineral Fertilizers

URALCHEM, OJSC, (“the Company” or “URALCHEM”), one of the largest producers of nitrogen and phosphate fertilizers in Russia and the CIS, announces the conclusion of accepting applications to sell ordinary  registered shares of Voskresensk Mineral Fertilizers, OJSC (“VMF”) from the company’s shareholders.

In total, 69 applications to sell ordinary registered shares of Voskresensk Mineral Fertilizers, OJSC have been made, of which 67 applications have been filed by individuals and two applications by legal entities, which include PhosAgro, OJSC.

The mandatory proposal extended to the VMF’s shareholders, which entitled URALCHEM  to repurchase the ordinary registered shares of the company, was made to Voskresensk Mineral Fertilizers, OJSC on 13 August, 2008.

The deadline for accepting the mandatory proposal to repurchase ordinary registered shares of Voskresensk Mineral Fertilizers, OJSC expired at 24:00 on 22 October, 2008.

In accordance with the current legislation and the terms of the mandatory proposal, shareholders of Voskresensk Mineral Fertilizers, OJSC who submitted an application to sell their shares must tender their shares to URALCHEM’s account at Registrator R.O.S.T. or to URALCHEM’s depositary account at Sberbank of the Russian Federation by 6 November, 2008.

URALCHEM will transfer the payment for the repurchased ordinary registered shares of Voskresensk Mineral Fertilizers, OJSC within 15 days after the transfer of ownership of the securities.

At the time that the mandatory proposal to repurchase ordinary registered shares of Voskresensk Mineral Fertilizers, OJSC came into force, URALCHEM owned 71.72% of the company’s shares.
